Abstract
The article presents recommendations on the formation of governance system of takeover defense. The governance system provides the implementation of such measures as the organization of information impact on the subject of takeover to cause his rejection to make a takeover, increase (save) the loyalty of stakeholders, create procedural barriers to counter the adoption of decisions favorable to the subject of takeover.
