Abstract
Business success connected with managment bodies activity. The Board of Directors has a huge impact on the economic and internal corporate processes. But the actions of management often conflict with the will of the company. In this case, shareholders should protect the interests of the company. The problem became actual in view of proof system symplification. The paper identified the main criteria for property liability which are designated in legislation and judicial practice. But in view of growing judicial practice task of developing protection mechanisms hes become very important.
